General Terms and Conditions.
1. Scope
The following General Terms and Conditions apply to all contractual relationships with IC3 GmbH unless other terms and conditions are expressly agreed to in writing.
Deviations from the General Terms and Conditions of IC3 GmbH require written confirmation by IC3 GmbH to be legally effective. Deviating from the general terms and conditions of the customer shall not become part of the contract.
Verbal ancillary agreements do not exist.
2. Formation of the contract
An application via the company website or a landing page of IC3 GmbH merely constitutes an offer by the customer to conclude a contract. This also applies to orders placed by the customer by letter, telephone, or e-mail. A contract is not concluded until IC3 GmbH confirms the order or participation.
If the customer has booked a face-to-face seminar or a format that is personally accompanied by a moderator, the number of participants in the services offered is limited. If there is overbooking in these formats, a referral is made to another service offered by IC3 GmbH. In the event of overbooking of a course, priority consideration will be given to the person who booked the service offering first.
3. Cancellations of webinars and seminars
3.1. Cancellations by the client
The customer is entitled to cancel a booked webinar or seminar up to four weeks before the start of the event within 14 days of booking, without specifying why. Cancellations must be made in text form and sent to the address given during the booking process. If there is a period of less than four weeks between the booking of the webinar or seminar and the start of the event, cancellation is not possible.
Instead of a cancellation or rebooking, the customer can also name a substitute participant who can then take the place of the original participant in the webinar or seminar.
3.2. Cancellations by IC3 GmbH
If a minimum number of participants for workshops/seminars/training courses is not reached, IC3 GmbH reserves the right to cancel the course in question. This also applies if the course cannot take place due to illness of the trainer or other reasons beyond the control of IC3 GmbH. If one of the aforementioned eventualities occurs, IC3 GmbH will propose a rebooking date. If the customer is unable to attend on this date, he/she will be offered a reversal of the course fee. However, the course participant is not entitled to reimbursement for hotel and travel costs incurred.
3.3. Cancellation of online on-demand trainings
Cancellation of an online on-demand training/video training of IC3 GmbH is not possible. By completing the booking, the customer confirms that he/she has no right of cancellation due to the immediate performance of the service.
4. Payment
The booked courses are to be paid for by the customer using the payment methods offered in the online shop immediately after booking. Without payment, participation in the booked course is not possible.
5. Copyright/proprietary rights
IC3 GmbH retains unrestricted ownership of all deliveries of materials in physical form until the customer has fulfilled all payment obligations in full.
All working documents, presentations, and materials of IC3 GmbH are protected by copyright and may not be reproduced, disseminated, made publicly accessible, or edited, even in part, without the consent of IC3 GmbH. Furthermore, IC3 GmbH reserves all rights. The working documents, presentations, and materials are exclusively available to the participants of the courses.
This also applies to online trainings that are made available via an online video stream. The passing on of training links or personal access data is also strictly prohibited. The provider grants the customer the non-exclusive right, limited to one year, to use the digital content provided exclusively for private purposes.
Participants in the so-called “Facilitator Training” are furthermore entitled to show the documents made available to them by IC3 GmbH in this event to third parties as an exercise example within the framework of their own training. However, participants in the “Facilitator Training” do not have any further rights, in particular, to reproduce and distribute these documents.
6. Liability
IC3 GmbH shall have unlimited liability under the Product Liability Act and for damages arising from injury to life, limb, and health.
Furthermore, IC3 GmbH shall only be liable for its vicarious agents who are not executive employees in the event of intent. The own liability of IC3 GmbH, its legal representatives, and senior vicarious agents is limited to intent and gross negligence. This limitation of liability shall not apply in the event of a breach of material contractual obligations (cardinal obligations). In this case, liability is limited to the damage typical of the contract and foreseeable for IC3 GmbH.
Insofar as IC3 GmbH cannot provide its contractual services or cannot provide them on time as a result of force majeure, war, riot, or other circumstances that are unavoidable for IC3 GmbH, IC3 GmbH shall not suffer any adverse legal consequences. In such cases, IC3 GmbH is also entitled, but not obliged, to hold face-to-face seminars online as webinars instead.
7. Miscellaneous
Should any provisions of these General Terms and Conditions be wholly or partially invalid or unenforceable or subsequently lose their validity or enforceability, this shall not affect the validity of the remaining provisions.
The law of the Federal Republic of Germany shall apply to the exclusion of the provisions of the UN Convention on Contracts for the International Sale of Goods.
The place of performance for all services to be rendered and consideration to be paid under the contractual relationship shall be Munich, provided that the customer is a merchant, a legal entity under public law, or a special fund under public law.
The exclusive place of jurisdiction for all disputes arising from and in connection with the contractual relationship with the customer is Munich, insofar as the customer is a merchant, a legal entity under public law, or a special fund under public law or has its registered office or usual place of residence abroad. IC3 GmbH shall, however, also be entitled to sue the customer at their general place of jurisdiction.
